Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING IN THE CHOBANI FEED THE DREAM SWEEPSTAKES.

BY PARTICIPATING IN THE PROMOTION, PARTICIPANTS AGREE TO THESE OFFICIAL RULES, WHICH CREATE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO THE PROMOTION ENTITIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

PROMOTION DESCRIPTION: The Chobani Feed the Dream Promotion (“ Promotion ”) consists of five separate promotions: the Chobani Feed the Dream Contest (“ Contest ”) and four monthly Chobani Feed the Dream Sweepstakes (“ Sweepstakes ”). Public voting will help determine the Contest winners and serve as entry into the Sweepstakes, all as more fully described below.

PROMOTION DATES: The Promotion begins on April 1, 2026 at 12:00:01 AM Eastern Time (“ ET ”) and ends on July 31, 2026, at 11:59:59 PM ET (“ Promotion Period ”). The Contest will take place over the course of the entire Promotion Period. The Promotion Period will be divided into four (4) Sweepstakes periods (each, a “ Sweepstakes Period ”), with each beginning on the first day of the applicable month at 12:00:01 AM ET and ending on the last day of the applicable month at 11:59:59 PM ET. Notwithstanding the foregoing, the first Sweepstakes Period will begin when the first Club (as defined below) has been posted for voting on the Promotion Site, which will be no sooner than April 1, 2026 at 12:00:01 AM ET.

ELIGIBILITY:

For the Contest: The Contest is open to youth soccer clubs located in the 50 United States or District of Columbia that (i) are affiliated with a recognized league or governing body, (ii) have been established for a minimum of three years, (iii) include boys and girls teams in multiple age divisions, (iv) have official leadership/board members, (v) have background-checked coaches, (vi) carry liability insurance, and (vii) have a public presence (website or social media) (each, a “ Club ”). Clubs can be entered in the Contest only by an authorized representative of the Club who, at time of submission, is at least 18 or the age of majority in their state of residence, whichever is older, and a legal resident of one of the 50 United States or the District of Columbia (each, a “ Club Representative ”). For the avoidance of doubt, the Club Representative must have the permission of the Club to enter the Club into the Contest and be authorized by the Club to grant the rights set forth herein on behalf of the Club.

For the Sweepstakes: To be eligible to vote in the Contest and be entered into the Sweepstakes, at the time they cast their Vote (defined below), individuals must be at least 18 or the age of majority in their state of residence, whichever is older, and legal residents of, and residing in, one of the 50 United States or the District of Columbia (each, a “ Voter ”).

This Promotion is void where prohibited by law. Employees, officers, and directors of Chobani, LLC (“ Sponsor ”) and of its affiliates, subsidiaries, advertising agencies, promotional agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Promotion, and members of those individuals’ immediate families (spouse and parent, children and siblings, and their respective spouses and children, regardless of where they reside), and persons living in the same household (whether or not related) of such employees are ineligible to enter a Club or vote in the Promotion. Sponsor and its agents will determine in their sole discretion whether a potential Club Representative, Club, or Voter meets the eligibility requirements. By participating, participant agrees to these Official Rules, and the decisions of the Sponsor, its agent, and/or its independent judges, which are final and binding in all respects.

HOW TO ENTER A CLUB INTO THE CONTEST: The Club entry process will take place on www.Chobani.com/FeedTheDream (the “ Promotion Site ”). Certain Clubs will be pre-populated on the Promotion Site by Sponsor. To find out whether a Club has been pre-populated on the Promotion Site, search for it by zip code. Once a Club is located, the Club Representative can complete the registration form by filling out the “Register Your Club” fields on the Promotion Site. If a Club is not located, the Club Representative can click the “Activate A Club” link to initiate the registration process.

For all Clubs (pre-populated and added Clubs), the Club Representative will need to provide the following information: Club name, city where Club is located, Club contact information (email address for the Club), Club Website or social media page, Club zip code, the number of years the Club has been active, and a short (no more than 250 characters) description of the Club which will be viewable by individuals who visit the Promotion Site and select that Club (“ Description ”). The Club Representative can also post a Club logo (“ Logo ”), one short (no more than 60 seconds) video about the Club (“ Video ”), and/or up to 3 images representative of the Club (“ Image(s) ”). The Logo, Video, and Images are all optional. If submitted, the Video must be in MOV and MP4 format (no more than 40MB), and the Image(s) must be in JPG or PNG format (no more than 8MB). Club Representative also will be asked to provide Club Representative’s first name, last name, email address, phone number, affiliation with the Club, and zip code. Club Representative must also provide an essay (no more than 1,000 characters) about the Club—the Club’s story, how it would use the prize money, and the Club’s community impact (the “ Essay ”) (all components of the entry, whether mandatory or optional, are collectively the “ Club Entry ”).

Note: Although the Video and Images are optional, if submitted, they will be taken into consideration as part of the judging process; however, if a Club Entry does not include a Video and/or Image(s), it will not hurt the Club’s judging score . All Club Entries must be received by the close of the Promotion Period to be eligible. Once a Club Entry is completed and submitted, it will go through a validation period that may take up to 48 hours. If a Club Representative enters their Club less than 48 hours before the end of the Promotion Period, the Club may not be posted for public voting prior to the end of the Promotion Period. If any element of Club Entry does not pass validation, the entire Club Entry will be rejected. All information required for Club Entry must be true, accurate and complete. Each Club Entry must comply with the Submission Requirements (outlined below) and these Official Rules. Limit one Club Entry per Club Representative. If multiple Club Entries are submitted for the same Club, only the first valid Club Entry will be considered. All subsequent Club Entries for that Club will be disqualified/void if discovered by Sponsor. No form of Club Entry other than as stated in these Official Rules will be accepted.

CLUB ENTRY AND VOTER CONTENT SUBMISSION REQUIREMENTS: Each Club Entry and Voter Content (as defined below) must comply with the following guidelines or will be subject to potential disqualification:

must be in English
must not have been submitted in any other competition;
must not have been published previously;
must not infringe upon any third party's rights of privacy or publicity;
must not infringe upon any third party's copyright;
must not contain prominent trademarks, trade names, or logos (other than Chobani and the Club and/or Club sponsors), without permission, to the extent permission is necessary;
must be the original concept of and creation of the Club Representative or Voter (as applicable), owned solely by the Club Representative or Voter (as applicable) and cannot appear to duplicate any other submitted Club Entry or Voter Content (as applicable);
must not be created in any manner using artificial intelligence, including drafting and editing;
must not be sexually explicit or suggestive, unnecessarily violent, or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic;
must not promote cruelty, harm, abuse or exploitation of anyone or any animal;
must not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), promote any activities that may appear unsafe or dangerous, or promote any particular political agenda or message;
must not endorse any form of hate or hate group;
must be in keeping with the Sponsor’s image, and may not be offensive;
must not defame, misrepresent, or contain disparaging remarks about Sponsor or its products or other people, products, or companies, as determined by Sponsor and the Contest judges in their sole discretion;
must not include, reference, advertise, or promote any brand or product of any Chobani competitor;
must not contain any license plate numbers, email addresses, or street addresses;
must not communicate messages or images inconsistent with the positive images and/or goodwill with which Sponsor wishes to associate;
must not violate any law;
must not contain any identifiable individuals, without express permission; and
must not contain dangerous, harmful, or otherwise objectionable content, or be deemed to be inappropriate for publication.

If a Club Entry or Voter Content contains identifiable individuals (i.e., people whose names or images are used), the Club Representative or Voter (as applicable) must have permission from any such individuals (and parents or legal guardians of minors), and Sponsor may ask the Club Representative or Voter to provide evidence in a form acceptable to Sponsor of such permissions. Failure to provide evidence of such permissions could result in disqualification from the Contest or Sweepstakes (as applicable), and all associated Votes (as defined below) may be void. Any individual who is identifiable in a Club Entry or Voter Content (as applicable) may be required to complete and sign a release (minors must have a parent/legal guardian sign the release). Club Representative and Voter will be responsible for identifying such individuals to Sponsor upon request, and, if Sponsor requests, providing signed releases from all such individuals to Sponsor. If the Club Representative submits a Logo, Club Representative understands that the Logo may be displayed on the Promotion Site and represents and warrants that the Club Representative has permission from the owner of the Logo to submit the Logo for display on the Promotion Site. Sponsor may ask the Club Representative to provide evidence that the Club Representative has permission to use such Logo and to grant the rights provided for herein. Failure to provide evidence of such permission could result in disqualification.

Club Representatives and Voters represent and warrant that the Club Entry or Voter Content (as applicable) (and all components thereof) is in compliance with the Official Rules, including the submission requirements set forth above, that Club Representative or Voter has received permission from any identifiable individuals (and parents or legal guardians of minors) appearing in the Club Entry or Voter Content (as applicable) and to grant the rights set forth herein. All Club Entries and Voter Content will undergo screening for compliance with the guidelines and requirements set forth in these Official Rules, but posting of a Club Entry or Voter Content does not indicate that the Club Entry or Voter Content has been deemed compliant. Sponsor, in its sole discretion, may disqualify a Club Entry or Voter Content for any reason, including if it determines, in its sole discretion, that the Club Entry or Voter Content fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by the Sponsor, in its sole discretion. In addition, Sponsor reserves the right not to post or, after posting, to remove, any part of a Club Entry or Voter Content for any reason. Once a Club Entry or Voter Content has been submitted, no changes will be permitted.

Use of Club Entry/Voter Content: Club Representative, on behalf of themselves and the Club, and each Voter (where applicable) grants Sponsor and USSF and their respective authorized promotional agencies and agents (collectively, “Licensed Parties”) a unlimited, worldwide, perpetual, license and right to publish, use, and publicly perform the Club Entry (and all elements embodied therein, including the Description, Essay, Video, Image(s), and Logo) or Voter Content (and all elements embodied therein, including the Voter Video and Voter Image(s)), which may be altered, changed, modified, edited, used alone, together or with other works, and/or cropped, resized, or reformatted as reasonably necessary for media placement, as solely determined by Sponsor) at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval and without consideration to the Club Representative or the Club or the Voter (as applicable). Licensed Parties shall not use Club Entry or Voter Content in any manner that is defamatory, obscene, or that portrays the Club, Club Representative, or Voter in a false or materially misleading light. Club Representative, on behalf of themselves and the Club, and each Voter, if requested by Sponsor, agrees to execute document consenting to same and provide proof of permissions in a form acceptable to Sponsor from any recognizable individuals (and, if minors, their parents or legal guardians) in the Club Entry or Voter Content. Sponsor has no obligation to make use of the rights granted herein.

HOW TO VOTE/ENTER THE SWEEPSTAKES: During the Promotion Period, eligible individuals can visit the Promotion Site, click on “Vote for a Club,” then follow the directions provided to cast a vote for a Club (each, a “ Vote ”) and receive an entry into the Sweepstakes (each, an “ Entry ”). Eligible Clubs will be searchable by zip code on the Promotion Site. Voter information must be accurate and complete. Voters may post a short (no more than 60 seconds) optional video in support of the Club (“ Voter Video ”) and/or images representative of the Club (“ Voter Image(s) ”). If submitted, the Voter Video must be in MOV and MP4 format, and the Voter Image(s) must be in JPG or PNG format. Voter Video and Voter Images will be referred to collectively as “ Voter Content .” All information required for voting must be true, accurate and complete. Voter Content must comply with the Submission Requirements (outlined above) and these Official Rules. Voter Content will go through a validation period that may take up to 48 hours. If the Voter Content is rejected, the Voter Content will not appear on the Promotion Site although the Vote will be accepted, assuming the Vote is otherwise valid. If the Voter Content is accepted, the Voter Content will appear on the Promotion Site. Voter Content will not play a factor in the Contest judging.

VOTING LIMITATIONS: A Voter can vote for a local Club or a Club with which the Voter is affiliated but is not required to do so. Limit one Vote and Entry per person for the entire Promotion Period. Any Vote not routed through a US server and the use of robotic, repetitive, automatic, programmed, script, macro, artificial intelligence, or any other automated means or similar participation methods or agents to subvert the voting process, as well as the use of vote exchange websites, vote "farming" or other methods to subvert the voting process and unfairly increase Votes, as determined by Sponsor in its sole discretion, is prohibited. Votes (and accompanying Entries) that are not in compliance with these provisions will be void if discovered by Sponsor. Sponsor (or its agent) will determine the eligibility of Voters and Votes in its sole discretion and may disqualify Votes (and accompanying Entries) at any time.

VOTING CONDITIONS AND RESTRICTIONS FOR CLUBS: Clubs and other individuals acting on a Club’s behalf (including Voters) may encourage friends, members, and supporters to cast Votes for the Club, but Clubs and other individuals acting on a Club’s behalf (including Voters), must not engage in any of the following activities:

Offer a sweepstakes or contest to potential Voters;
Force their employees or volunteers to vote;
Pay or provide any other form of consideration to individuals to vote;
Use robotic, repetitive, automatic, programmed, script, macro, or any other automated means or similar participation methods or agents, vote exchange websites, vote “farming” or other method to subvert the voting process and unfairly increase Votes;
Misrepresent themselves to Voters (for example, by overstating their accomplishments); or
Take any actions that Sponsor deems unfair or unsporting to encourage voting.

Similarly, Clubs and other individuals on Club's behalf (including Voters) may not discourage voting for other Clubs. Clubs and other individuals on Club's behalf (including Voters) may not do any of the following on social media or by other means of public communication, including, but not limited to, in Voter Content:

Denigrate another Club;
Criticize another Club;
Make misrepresentations about another Club;
State that they will make better use of the prize than another Club; or
Treat another Club in a manner that Sponsor deems unfair or unsporting.

Sponsor will determine in its sole discretion whether Clubs and Voters have complied with the foregoing voting conditions and restrictions. If, at any time, Sponsor has reason to believe that a Club or Voter: (i) has violated these conditions and restrictions or these Official Rules, (ii) has knowledge of other individuals acting on Club's behalf (including Voters) violating these conditions and restrictions or these Official Rules and does not report same to Sponsor, and/or (iii) has directed any third party (including Voters) to violate these conditions and restrictions or the Official Rules, Sponsor may disqualify such Club from the Contest and all such Votes (and associated Entries) will be void.

CONTEST WINNER SELECTION : All the Essays, Videos and Images included as part of eligible Club Entries will be evaluated and reviewed by judges appointed by the Sponsor based on the following judging criteria (please note, Descriptions will not play a role in the judging):

Submission Quality—judges will look at how clearly, thoroughly, and authentically the Club communicates its story and needs —up to 150 points;
Funding Allocation—judges will look at how Essay and, if applicable, Video and Image(s) demonstrate how the Club plans to use the prize funds and whether the proposed use is practical, responsible, and aligned with the Club’s goals—up to 400 points;
Community Impact—judges will look at how the Essay and, if applicable, Video and Image(s) show the broader positive effect the prize funding will have on the Club’s players, families, and the surrounding community—up to 400 points;
and
Voting—up to 50 points. Clubs will receive points based on their percentile rank for Votes received. Clubs in the top 2% of Vote recipients will receive 50 points; Clubs in the top 2-4% of Vote recipients will receive 49 points. Points will decline in 2% increments thereafter. For example, a Club that ranks in the bottom 2% of Vote recipients will receive one point.

The top 500 Clubs based on the highest scores, as determined by Sponsor, will be deemed winners, subject to verification of eligibility and compliance with these Official Rules. If there is a tie for the 500th winner position, the tie-breaker will be the Club with the highest number of points assigned to the Community Impact criteria. If, after applying the first tie-breaker, there is still a tie for the 500th winner position, judges will re-score the tied Clubs to break the tie. Sponsor reserves the right to not award all Contest prizes, if, in its sole discretion, it does not receive a sufficient number of eligible Club Entries. Judging scores and number of Votes received by a Club will not be revealed.

CONTEST WINNER NOTIFICATION AND VERIFICATION: Sponsor will attempt to notify the Club Representative of each potential Club winner by email or telephone using the information provided as part of the Club Entry process. The Club Representative must respond within 48 hours of initial notification attempt. Club Representatives must sign and return an Affidavit of Eligibility/Release of Liability Form, Publicity Release (where lawful), Club Entry Release, a Federal Form W-9 (with a valid Federal Employer Identification Number), as well as provide proof of liability insurance for the Club and, if requested by Sponsor, proof of permissions for any recognizable individuals in the Club Entry, within 72 hours of the time Sponsor sends forms. If the Club Representative fails to respond to initial notification by the deadline set forth above, if all required documents are not returned by the deadlines set forth above, or if the Club Representative or potential winning Club is not in compliance with these Official Rules (including eligibility requirements), such Club will be disqualified and Sponsor may notify a runner-up.

SWEEPSTAKES WINNER SELECTION: Within approximately 10 working days after the end of each Sweepstakes Period, Sponsor will select potential winners for that Sweepstakes Period by random drawing from among all eligible Entries for that Sweepstakes Period. Odds of winning depend on the number of eligible Entries received for each Sweepstakes Period. Non-winning Entries will not carry over from one Sweepstakes Period to another.

SWEEPSTAKES WINNER NOTIFICATION AND VERIFICATION: After the close of the each Sweepstakes Period, Sponsor will attempt to notify the potential Sweepstakes winners via the email address submitted with Entry. A potential Sweepstakes winner must respond within seven days of initial notification attempt. A potential Sweepstakes winner may be required to complete, sign and return, within 72 hours of the time of notification, an Affidavit of Eligibility/Release of Liability Form, Voter Content Release (if applicable), and Publicity Release (where lawful), as well as any other documents required by Sponsor, including, but not limited to, if requested by Sponsor, proof of permissions for any recognizable individuals in the Voter Content submitted by the potential Sweepstakes winner. If all required documents are not returned within 72 hours, if any prize notification or any prize is returned as undeliverable, or if a potential winner does not respond within seven days of initial notification attempt or is found to be ineligible, declines the prize, or otherwise is not in compliance with these Official Rules, the prize may be forfeited. Sponsor may choose an alternate winner by random draw from remaining eligible, non-winning Entries for that Sweepstakes Period, or Sponsor may choose to not award unclaimed Sweepstakes prizes.

CONTEST PRIZES : There are 500 Contest prizes. Each prize consists of: $5,000 (awarded in the form of a check issued in the name of the Club), equipment valued at up to $5,000 (“Equipment”), 10 soccer balls, two coolers, 25 water bottles, two foldable spectator chairs, and two umbrellas. The approximate retail value (“ARV”) of each Contest prize is $10,335. The total ARV of all Contest prizes is $5,166,500. Limit one Contest prize per Club. Exact details on how the Equipment portion of the prize will be awarded will be at the discretion of the Sponsor, in consultation with Club winner. Certain restrictions may apply to Equipment portion of prize, including but not limited to, a deadline by when it must be submitted for redemption as well as make and manufacturer. Award of Equipment portion of prize in subject to availability and may take 4-6 months (or other length of time to be communicated by Sponsor). All requirements for redeeming Equipment portion of prize will be provided following completion of the winner verification process.

SWEEPSTAKES PRIZES : There are 625 prizes for each Sweepstakes Period. The prizes for each Sweepstakes Period are as follows: 100 plastic water bottles (ARV of each $2); 100 canvas tote bags (ARV of each $4); 100 baseball hats (ARV of each $5); 100 Chobani t-shirts (ARV of each $5); 100 Chobani soccer balls (ARV of each $5); 100 Chobani pins (ARV of each $2); and 25 Nike US Men’s National team soccer jerseys (not game worn) (ARV of each $100). The total ARV for the prizes for each Sweepstakes Period is $4,800. Limit one Sweepstakes prize per person for the entire Promotion.

CONDITIONS APPLICABLE TO ALL PRIZES: Only the stated number of prizes in these Official Rules will be awarded. In no event will Sponsor award more prizes in a Sweepstakes Period or the Contest than are provided for in these Official Rules. All costs and expenses associated with prize acceptance and use not specified herein as being awarded are the responsibility of the winners. If an inadequate number of qualified Club Entries or Entries are received to award all of the prizes in either a Sweepstakes or the Contest, Sponsor reserves the right to award fewer than the number of prizes stated above. All federal, state, and/or local taxes (including income taxes), duties, and the like, if any, are the sole responsibility of the winner, and winners may be sent an IRS 1099 form for the value of the prize. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. No substitution, assignment, redemption for cash of non-cash prizes, or transfer of any prizes permitted, except that Sponsor reserves the right to substitute a prize (or portion thereof) of comparable or greater value. Allow eight to 10 weeks for shipment of all prizes. Sponsor will not be held responsible for any delays in awarding any prize for any reason outside of its control. All prize details are at Sponsor’s sole discretion. A prize will be delivered only to a verified winner.

PUBLICITY GRANT:

Clubs : By claiming a prize, the Club Representative, on behalf of themselves and the Club, agrees to confirm consent in writing upon request, to Licensed Parties, the right, in perpetuity, to the use of the Clubs's name and Logo and information provided about the Club, as well as the Club Representative's name, voice, picture, image and/or likeness at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval. Licensed Parties shall not use Club Entry or Voter Content in any manner that is defamatory, obscene, or that portrays the Club, Club Representative, or Voter in a false or materially misleading light.

Voters: By claiming a prize, the Voter grants to Sponsor and those acting pursuant to the authority of Sponsor, the right, in perpetuity, to the use of the Voter’s name, voice, picture, image and/or likeness at any time(s) and in all media now known or hereafter discovered, worldwide, including on the Internet and World Wide Web, for advertising, commercial, trade and promotional purposes without additional compensation unless prohibited by law, and without notice, review or approval.

GENERAL: By participating in the Promotion, participants agree to release and to indemnify and hold harmless Sponsor, its parent, affiliates, subsidiaries, retailers, franchisees, advertising agencies, promotion agencies, judging organization, and any other individual or company involved in the development, promotion, or execution of the Promotion, including Momentum Worldwide, and all of their respective officers, employees, directors, representatives and agents, USSF, and its officers, directors, employees and agents (individually and collectively “Releasees”) from all liability, losses, claims, action, or proceedings, all injuries and damages of any kind to person(s), including death or property resulting, in whole or in part, directly or indirectly, from participant’s participation in the Promotion or any Promotion-related activities, or violation of intellectual property or personal rights (such as but not limited to, copyright, patent, trade name/trademark, and/or rights of privacy or publicity or portrayal in a false light) due in whole or in part to acceptance, possession, misuse or use of any prize; and from Sponsor’s use of the Club Entry or Voter Content (and any and all components thereof) as provided for herein. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Sponsor through information technology systems in Sponsor’s control, but Sponsor will not be obligated to consider any data or other information collected from any other source. Any failure by Sponsor to enforce any of these Official Rules will not constitute a waiver of such Official Rules. If there is a conflict between any term of these Official Rules and any marketing or entry materials used in connection with the Promotion, the terms of these Official Rules will govern.

LIMITATIONS OF LIABILITY: Releasees are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, illegible, delayed, misdirected, separated, or non-delivered Club Entries, Entries, Votes, Voter Content, emails, or other communications of any kind; or for lost, interrupted or unavailable satellite, unavailable network, server, Internet Service Provider, website or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors or problems of any kind whether human, mechanical, electronic, network, typographical, printing or otherwise, relating to or on connection with Promotion, including, without limitation, in connection with the administration of the Promotion, the processing or judging of Club Entries, the tabulation of Votes, the announcement of the winners, the incorrect uploading of the Club Entries, Votes, or Voter Content, or in any Promotion-related materials. Releasees are not responsible for any incorrect or inaccurate information, or the failure to capture, or the loss of any information, whether caused by Promotion Site users, or by any equipment or programming associated with or used in this Promotion, and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of the Club entry or voting process. Sponsor reserves the right, at its sole discretion, to disqualify any Club Representative, Club, or Voter it finds to be tampering with any aspect or operation of the Promotion or if such Club Representative, Club, or Voter shows a disregard for, or attempts to circumvent, these Official Rules; or if such Club Representative, Club, or Voter threatens the integrity of the Promotion by posting or otherwise disseminating material relating to this Promotion on TikTok, Instagram, Facebook, or any other social network that is offensive, vulgar, obscene, or defames anyone or any entity; or if such Club Representative, Club, or Voter acts: (i) in a manner the Sponsor determines to be not fair or equitable; (ii) in an annoying, threatening, or harassing manner toward any other Club Representative, Club, Voter or Sponsor or entity associated with the Promotion; or (iii) in any other disruptive or unsportsmanlike manner. Releasees are not responsible for injury or damage to Club Representative, Club, or Voter’s or any other person’s computer or other device related to or resulting from participating in this Promotion or downloading, printing, or copying materials from or use of social media or the Promotion Site.

If, for any reason, the Promotion (or any portion thereof) is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures, or any other causes that, in the sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Promotion (or any portion thereof) as follows: (i) for the Contest, Sponsor will determine Contest winners from among all eligible, non-suspect Club Entries received up to time of such action using the winner determination process above, or as otherwise deemed fair and equitable by Sponsor, provided Sponsor is able to do so; and (ii) for the Sweepstakes, Sponsor will award prizes for the Sweepstakes Period in progress at the time of termination by random drawing from among eligible, non-suspect Entries received for that Sweepstakes Period prior to termination, provided Sponsor is able to do so, and Sponsor will not award prizes for any remaining Sweepstakes Period(s). If Sponsor terminates, modifies, or suspends the Promotion, Sponsor shall post notice on the Promotion Site.

DISPUTES: As a condition of participating, participants agree that, except where prohibited: (i) under no circumstances will any Club Representative, Club, or Voter be permitted to obtain awards for, and any Club Representative, Club, or Voter hereby waives all rights to claim punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (ii) all causes of action arising out of or related to this Promotion, or any prize awarded, will be resolved individually, without resort to any form of class action; and (iii) all claims, judgments and award will be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs.

JURISDICTION/CHOICE OF LAW: By participating, participants agree that this Promotion will be governed by the laws of the State of New York and agree to venue and jurisdiction solely in the State of New York for the resolution of all disputes.
